Biolife, LLC respects your privacy and we are committed to protecting the privacy of our users. We have published this Privacy Policy to explain how we treat information that is submitted to us through the proprietary Ecorial mobile application (the “App”) and any other products and services, including the Ecorial website (the “Site”), that direct you to this Privacy Policy. This Privacy Policy describes how we receive and collect your information and how we use, process, and share this information. When you access or use the App, you agree to the terms and conditions of this Privacy Policy. Note that this Privacy Policy may change from time to time, and your continued use of the App and or the Site, after we have made changes to the terms, is considered acceptance of those changes. Please check this Privacy Policy for updates.

1. INTRODUCTION

This Privacy Policy is effective upon the installation, access, and use of the App or the Site. You agree to be bound by this Privacy Policy and the data practices described herein (including the collection, use, processing, and sharing of your information).

2. INFORMATION WE COLLECT

A. We may collect and process information that could be directly associated with you without the aid of additional information, such as your full name, username and password, phone number or e-mail address (“Personal Information”) as well as information that you submit, or that we collect, that is not Personal Information but necessary for the proper functioning of the App or Site, such as the date regarding the start and end of usage, or the extent of usage of the App or Site, or preferences, browser, operating system, IP address, and traffic data in connection with the App or Site. Demographic and usage information is generally non- identifying, but if we associate it with you as a specific and identifiable person, we treat it as Personal Information. We also collect information about your unique device identifier(s), which will be treated as Personal Information.

B. You may allow the App or Site to interact with one or more third-party social networks or platforms, which will provide data about you to us, such as Amazon Web Services (“Platform(s)”). The information you allow us to access varies by Platform, and it is affected by the privacy settings you and those that you are connected with establish using such Platforms. You can control and find out more about these settings through the Platform(s) directly. Platforms are operated, controlled, and maintained by third parties that are not operated, controlled or maintained by us. You should ensure that you read any third party terms of service and privacy policies to understand how they treat your data and what data they might share with us, if any.

C. We may from time to time, transfer or merge your Personal Information collected off-line to our online databases or store off-line information in an electronic format. We may also combine Personal Information we collect online with information available from other sources, including information received from advertisers and promotional partners. This Privacy Policy applies to Personal Information for as long as Personal Information is in our possession, even if you terminate or discontinue use of the App, the Site, and any related services.

D.Technology Related to Information Collection. We utilize an array of tracking technology software to collect information.

1.Tracking Software.Tracking software we utilize might consist of cookies, anonymous identifiers, web beacons, and/or similar tracking software. We may use this software to allow us to personalize your experience when you use the App or Site.

2.Location Information. We may collect your unique user identifier and your location through GPS, WiFi, or wireless network triangulation in order to obtain your location for the purposes of providing services on the App or Site. We maintain location information only so long as is reasonable to provide the service and then delete location data tied to your personal information. We may maintain de-identified location data for a longer period of time in order to analyze aggregate trends and metrics. If you want to opt-out of the collection of your location data, please adjust your settings in your device to limit the App or Site access to your location data.

3. Address Book Information.With your permission, we may access your contact list available on your mobile device, in your email contacts, or on your social media account so that we can locate your friends and contacts on the service and you can invite your friends and contacts to connect with our service. When we send the invitation to your friends and contacts to join or view the service, we will include your name to let them know that you are the person extending the invitation. After sending these invitations, we may also send reminder emails or text messages to your invitees on your behalf, which may also include your name. We will store these contacts for purposes of alerting you when your contacts join the Site or App so that you may connect with them on the Site or App.

4.Links to Third Parties .The App and/or Site may include links to third party websites, other apps, or services. Such links are not an endorsement by us of those websites, apps and/or the products or services they offer. Third parties have different privacy policies, and we are not responsible for the privacy practices of such third parties. If you click on a link to a third party website, app, or service, we encourage you to check the applicable privacy policy, as it may differ substantially from that of this Privacy Policy. WE MAKE NO REPRESENTATIONS OR WARRANTIES, NOR SHALL WE BE RESPONSIBLE FOR THE PRIVACY POLICY OR OTHER ASPECTS AND OPERATIONS OF ANY THIRD PARTY. If you access any third party links appearing on this App, YOU DO SO AT YOUR OWN RISK.

5.Third-Party Services.

a. Google Analytics. We have enabled Google Analytics to collect data about our traffic through the use of Google Advertising Cookies and other anonymous identifiers. We use Google Analytics Cookies and other cookies to compile data to better understand users and provide users with a more tailored experience. You can opt out of Google Analytics by visiting Google’s Opt-Out Browser Add-on Site here.

b. Other Third-Party Use of Cookies and Other Tracking Technologies.In addition to the applications listed above, there might be other content or applications on this App or Site served by third-parties, including advertisers, ad networks and servers, social media websites, content providers, and application providers. These third parties may use cookies alone or in conjunction with web beacons or other Internet tracking technologies to collect information about you when you use the App or Site. The information they collect may be associated with your Personal Information or they may collect information, including Personal Information, about your online activities over time and across different websites and other online services. We do not control these third parties’ tracking technologies or how they may be used. c. Online Advertising We Use.We use Google AdWords Remarketing to advertise the Site and App across the Internet. AdWords remarketing will display relevant ads tailored to you based on what parts of the Ecorial website you have viewed by placing a cookie on your machine. THIS COOKIE DOES NOT IN ANYWAY IDENTIFY YOU OR GIVE ACCESS TO YOUR COMPUTER. The cookie is used to say “This person visited this page, so show them ads relating to that page.” Google AdWords Remarketing allows us to tailor our marketing to better suit your needs and only display ads that are relevant to you.

3. USE AND DISCLOSURE OF PERSONAL INFORMATION

A. We use Personal Information to identify you and to improve and customize the content you see via the App and Site. Your Personal Information may also be aggregated and used by us for market research, project planning, troubleshooting problems, detecting and protecting against error, fraud or other criminal activity, for other internal purposes, and as otherwise described to you at the time of collection.

B. You agree that we may use Personal Information to analyze Site and App usage, improve or customize the Site and App and the related service, customize the Site and App content, and as otherwise set forth in this Privacy Policy. In addition, we may use Personal Information to respond to your inquiries and fulfill requests or send administrative information to you, for example, information regarding our services and changes to our terms, conditions, and policies.

C. The App may send push notifications to your mobile device. If you have previously consented to receiving push notifications and no longer wish to receive them, you can also turn push notifications off at the device level. The App and Site may also request access to your photo gallery, camera, microphone, or other device features. If you have previously allowed access and no longer wish to allow access, you may edit the application settings at the device level.

D. We may disclose Personal Information as we believe to be necessary or appropriate:

  • under applicable law;
  • to comply with legal process;
  • to respond to requests from public and government authorities including public and government authorities;
  • to enforce our Terms and Conditions;
  • to protect our rights, privacy, safety or property, and/or that of affiliates, you, or others;
  • to allow us to pursue available remedies or limit the damages that we may sustain;
  • to contractors, service providers and other third parties we use to support our business and who are bound by contractual obligations to keep Personal Information confidential and use it only for the purposes for which we disclose it to them;
  • to a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution or other sale or transfer of some or all of our assets, where Personal Information held by our about our Site and/or App users is among the assets transferred; and
  • to fulfill the purpose for which you provide it.

4. SECURITY

We take a range of security measures designed to protect your Personal Information and keep it confidential (unless it is non-confidential by nature, for example, publicly-available information or memorials you make public) and free from any unauthorized alteration. However, the Internet by its nature is not a secure environment, and the nature of security risks is constantly evolving, as are the technical and organizational industry standards relating to management of those risks. The complete security of any Personal Information collected, stored, or used by us cannot therefore be guaranteed, and it is common knowledge that transmission of information via the Internet is not wholly secure. We cannot guarantee the security of your Personal Information transmitted to the Site or App. Any transmission of Personal Information is at your own risk. By continuing to use this Site and the App, you acknowledge and accept these risks. We are not responsible for any circumvention of security or privacy measures deployed against the App or the Site, and we will not be responsible for any damages directly or indirectly caused by an unauthorized third party’s ability to view, use, or disseminate user content.

5. ACCESS

A. You represent and warrant that you are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in this Privacy Policy. By using the App or Site, you agree that you are eighteen (18) years of age or older. Persons under eighteen (18) years of age are prohibited from using the App and Site.

B. If access or use of the App or Site is prohibited or restricted in any way by the laws, regulations, or other governmental requirements of the jurisdiction in which you live; or if, for any reason and at any time, you do not agree with this Privacy Policy, please discontinue using the App or Site immediately.

C. The App and the Site are not directed to individuals under the age of thirteen (13), and we request that these individuals do not provide Personal Information to us.

6. YOUR CHOICES AND RIGHTS.

A.EU Data Subject Rights:If you are an EU data subject, we provide you with choices about the collection, use and disclosure of your personal data. You may exercise these rights by contacting us in writing by electronic mail, postal mail, or commercial courier at the email address provided at the end of this Privacy Policy under the heading “Contact Information.” Unless explicitly stated otherwise, we will respond to your request as soon as possible, but at the latest within one month. Your rights include:

  • Accessing your personal data to know what information we have collected about you and how it has been shared;
  • Requesting the deletion of all or some of your personal data;
  • Changing or correcting inaccurate or outdated information;
  • Objecting to, limiting or restricting use of all or some of your personal data; and
  • Requesting a copy of your personal data, including in a portable format.

You also have the right to lodge a complaint with your supervisory authority if you believe we have violated your privacy rights or applicable laws and regulations.

B. California Privacy Rights:If you are a resident of the State of California and you have provided your personal data to us, you have the right to request a list of all third parties to which we have disclosed your personal data for direct marketing purposes. If you exercise your right to submit such a request to us, we will send you the following information:

  • The categories of information we have disclosed to any third party for any third party’s direct marketing purposes during the preceding year; and
  • The names and addresses of third parties that received such information, or if the nature of their business cannot be determined from the name, then examples of the products or services marketed.

You may make such a request by contacting us in writing by electronic mail at the email address provided at the end of this Privacy Policy under the heading “Contact Information” with a preference on how our response to your request should be sent. California law also requires that we disclose how we respond to “do-not-track requests” from our users. At this time, we do not currently respond to “do-not-track” requests from our users’ browsers.
